For purposes of these Terms, "Alpy," "Alpy Studio," "we," "us," and "our" refer to the operator of the Alpy Studio website, web app, and related services.

3. Eligibility

You may use Alpy only if you can legally enter into a binding agreement.

Alpy is not intended for children. You may not use Alpy if you are under 13 years old, or under 16 where a higher minimum age applies. If you are under the age of majority where you live, you may use Alpy only with permission and supervision from a parent or legal guardian.

You may not use Alpy if you are prohibited from using the service under applicable law, sanctions rules, export-control rules, or these Terms.

4. Scope of Alpy

Alpy is an end-to-end design system workspace. These Terms apply to:

• the public website at thealpy.studio;
• the Alpy web app;
• local Alpy Library workspaces stored in your browser;
• account-backed library backups and account downloads;
• Type, Color, Library, Demo, AI Ready, and Export workflows;
• code, token, CSS, React, Vue, and ZIP export packages;
• accessibility color contrast audits and validation features;
• license checks, paid entitlements, checkout, billing, refunds, disputes, and billing records;
• the Alpy Studio Figma plugin and Alpy Connect workflows;
• Export command-line tools and related local files or configuration;
• support, service communications, and related product surfaces.

These Terms do not replace the terms of third-party services you choose to use with Alpy, such as Figma, Stripe, Supabase, Vercel, Fontshare, Google Fonts, GitHub, AI clients, code editors, repositories, or hosting providers.

5. Other Terms and Order of Priority

Some Alpy features, purchases, beta programs, enterprise arrangements, or integrations may be subject to additional terms, order forms, checkout terms, written agreements, or platform rules.

If there is a conflict, the following order applies unless a written agreement says otherwise:

• a signed written agreement between you and Alpy;
• the checkout, order, or plan terms shown at the time of purchase;
• these Terms;
• product documentation or marketing materials.

Marketing pages, examples, roadmap notes, public posts, or informal messages do not modify these Terms or checkout terms unless they clearly state a binding offer or promise. Nothing in this section limits mandatory consumer rights or excuses a false or misleading statement.

6. Key Terms

"Alpy Library" means a design system record in Alpy, including foundations, typography, colors, semantic tokens, component contracts, component token bindings, validation states, Design.md guidance, export profile settings, package records, and related settings.

"User Content" means content, data, names, files, designs, brand choices, tokens, variables, styles, component definitions, prompts, feedback, support messages, or other materials you provide, create, upload, store, process, or generate through Alpy.

"Generated artifacts" means files, packages, records, or download links created from an Alpy Library, including token JSON, CSS, React code, Vue code, ZIP files, export records, package records, and signed download links.

"Outputs" means generated artifacts and any design-system resources created through Alpy, including tokens, variables, styles, components, source files, package files, and Figma resources.

"Paid Library workflows" means any library creation, switching, multi-library management, package, export, connector, install, or other action that the applicable product, checkout, order, or written agreement identifies as requiring a paid license or entitlement.

"Licensed account" means the Alpy account associated with the applicable license purchase or entitlement.

"Credentials" means Alpy sign-in links or codes, sessions, Alpy Library Keys, and other secrets that authorize access to an account, library, package, or workflow.

7. Accounts and Security

Some Alpy features require an account, including account-backed backups, package generation and downloads, billing, license checks, Export workflows, and certain Figma-related workflows.

You are responsible for maintaining access to the email account you use with Alpy, protecting all Credentials, and controlling devices, browsers, terminals, AI clients, and repositories where Alpy data or credentials live.

You may not publish, sell, share, or expose Credentials or paid entitlements in a way that gives another person unauthorized access or lets someone avoid a required license. If you believe a Credential or account has been compromised, stop using the affected Credential, use an available logout or revocation control, and contact info@thealpy.studio.

Unless Alpy provides team accounts or seats in writing, each account is for the licensed account holder only. Employees, contractors, clients, and collaborators may use Outputs as permitted by these Terms, but they may not use your account login, session, or license entitlement unless the plan or written agreement allows it.

You are responsible for activity under your account unless caused by our breach of these Terms or applicable law.

8. Local Workspace and Cloud-Backed Data

Alpy is designed around a local working copy. Your Alpy Library can live in browser storage on your device.

When you sign in or use account-backed features, Alpy may upload or store library snapshots so the backend can verify account ownership, check paid Library actions when needed, generate packages, create private artifacts, and return downloads.

You are responsible for keeping your own backups of important design system work. Clearing browser storage, changing devices, deleting local libraries, or browser/device failures may remove local data that has not been backed up.

Account-backed backups and generated artifacts are provided to operate Alpy features. They are not a guaranteed archival, version-history, disaster-recovery, or permanent storage service.

9. Plans, Licenses, and Entitlements

Alpy may offer free, paid, promotional, one-library, multi-library, Pro, Enterprise, Unlimited, or differently named access. The plan name, price, library scope, account or seat scope, included features, restrictions, and duration shown in the product or checkout when you obtain access, or in a written order, control that entitlement.

Feature availability can depend on account status, product release, library ownership, license checks, supported clients, and a promotion. A zero-price or promotional offer does not convert a limited entitlement into a broader paid plan. If marketing copy conflicts with the product or checkout terms presented for a transaction, the checkout or written order controls.

A one-library entitlement applies only to the library associated with that entitlement. A multi-library or unlimited-library entitlement applies only to the licensed account and does not include multiple people, shared logins, team seats, organization-wide use, client accounts, or enterprise administration unless the product, checkout, order, or written agreement expressly includes them.

If a library is accidentally deleted, corrupted, or misassigned, we may help reset or transfer the entitlement where technically and commercially reasonable, but we are not required to provide unlimited transfers unless required by law or stated in writing.

Employees, contractors, clients, collaborators, and implementation partners may receive and use Outputs as permitted by these Terms, but they may not log in to, operate from, or run paid Library workflows through the licensed account unless they are the licensed account holder or Alpy has provided written permission.

If a client, team member, contractor, or organization needs to use Alpy directly, manage libraries directly, or run paid Library workflows directly, they need their own Alpy account and applicable license unless Alpy states otherwise in writing.

Licenses are account-based unless stated otherwise in writing. Alpy may check sign-in, account, library ownership, plan, and entitlement before a licensed workflow. A current product flow may require sign-in or ownership even when no separate charge is shown.

10. One-Time Purchases

Unless a checkout page or written agreement says otherwise, paid Alpy licenses are one-time purchases for the stated license scope.

A one-time purchase means the checkout is not a recurring subscription unless stated otherwise. It does not mean that every future product, feature, integration, export target, platform, team feature, enterprise feature, or major new version is included.

If a product or checkout describes an entitlement as "lifetime," that means access to the purchased scope for the licensed account while Alpy continues to make that product and delivery method commercially available. It does not mean the lifetime of any person, perpetual hosting or support, uninterrupted availability, or automatic rights to every future product, major version, platform, team feature, or service.

Alpy may add, change, separate, limit, or charge separately for future features, plans, integrations, export targets, services, team features, enterprise features, or major product versions, subject to the purchased entitlement, applicable law, checkout terms, and any written agreement.

11. Right to Use Alpy

Subject to these Terms, Alpy grants you a limited, non-exclusive, non-transferable right to access and use Alpy for your own design system work, product work, internal work, client work, and other permitted uses. Alpy may suspend or revoke service access only as permitted by these Terms, the applicable checkout or written agreement, and applicable law.

This right does not include ownership of Alpy software, source code, templates, product design, default catalogs, package structures, documentation structures, trademarks, logos, or service materials.

12. Your Content and Responsibilities

You are responsible for User Content and for making sure you have the rights needed to use it with Alpy.

You represent and warrant that:

• you have the rights, permissions, and authority needed to provide User Content to Alpy;
• your User Content and use of Alpy do not violate law, third-party rights, client obligations, employer obligations, platform rules, or confidentiality duties;
• you have the right to generate, export, download, use, and share Outputs created from your User Content;
• you will review Outputs before relying on them in production, client work, repositories, Figma files, or third-party tools.

You should not use Alpy to process content that you are not authorized to use.

13. Ownership

As between you and Alpy, and to the extent recognized by applicable law, you retain your rights in original designs, original content, Figma files, brand choices, local libraries, user-authored changes, and other User Content that you create or provide through Alpy.

Alpy does not claim ownership of your original work merely because you use Alpy to create, preview, validate, package, export, or insert it.

Alpy and its licensors retain their rights in the protectable elements of Alpy's software, source code, product design, user interface, workflows, templates, default catalogs, service materials, trademarks, logos, trade dress, and related intellectual property that they created or lawfully license. Alpy does not claim ownership of unprotectable ideas, facts, standards, or your User Content.

Some Outputs may include both your User Content and Alpy-provided templates, structures, naming conventions, formatting, code patterns, or other service materials. Alpy retains its rights in those Alpy materials, but grants you the output license described in these Terms.

You grant Alpy a non-exclusive, worldwide, royalty-free license to host, copy, transmit, format, and otherwise process User Content only as reasonably necessary to provide your requested features, store local or cloud-backed data, generate and deliver artifacts, perform validation, provide support, secure and administer the service, comply with law, and enforce these Terms. Alpy may sublicense this limited license only to service providers that need it for those purposes. The license ends when the content is no longer needed for those purposes, subject to the retention described in the Privacy Policy.

14. License to Use Outputs

Subject to your plan, these Terms, and any payment requirements, Alpy grants you a non-exclusive, worldwide license to use Outputs in:

• your own products, websites, apps, services, prototypes, internal tools, repositories, and production codebases;
• client projects and client deliverables;
• Figma files and implementation workflows;
• brand systems and design system implementation work;
• documentation, handoff, and AI-assisted implementation workflows.

You may modify Outputs and combine them with your own work.

For Outputs you lawfully obtain, this Output license is perpetual and irrevocable for the licensed scope, survives termination of service access, and remains subject to the restrictions in these Terms and any third-party rights. Termination for breach does not transfer Alpy's proprietary materials or excuse an existing breach.

You may share Outputs with employees, contractors, clients, collaborators, and implementation partners as reasonably needed to build, maintain, deliver, or operate the product, brand system, app, website, internal tool, implementation project, or client engagement covered by your license. You may grant those recipients a limited sublicense to use the delivered Output only for those permitted purposes and subject to the same redistribution limits.

For agencies, studios, freelancers, and client work, you may deliver Outputs to a specific client as custom work for that client's own use, including as part of a bespoke design system deliverable.

That client may use the delivered Outputs for its own products, websites, apps, internal tools, repositories, Figma files, and production implementation. This permission does not allow you or the client to resell, redistribute, publish, or commercialize the Outputs as stock assets, template packs, marketplace products, reusable multi-client libraries, or competing tools.

If the client needs to use Alpy directly, manage Alpy Libraries directly, or run paid Library workflows directly, the client needs its own Alpy account and applicable license unless Alpy states otherwise in writing.

An Output may combine User Content, Alpy materials, and third-party materials. These Terms do not transfer ownership of Alpy's pre-existing software, templates, default catalogs, package structures, trademarks, or third-party materials. Alpy does not guarantee that an Output is unique, copyrightable, non-infringing, or free of third-party license obligations.

15. Restrictions on Resale and Redistribution

Except for your User Content, third-party materials, and rights that cannot lawfully be restricted, you may not sell, redistribute, publish, license, sublicense, give away, or make available the Alpy-provided proprietary portions of Outputs as a standalone stock asset, UI kit, component library, token pack, template, starter kit, marketplace asset, Figma library, code package, or similar reusable asset, whether free or paid.

You may not copy, misappropriate, or reverse engineer Alpy's non-public software or proprietary materials to build or sell a competing product, except to the extent a restriction is prohibited by applicable law. This does not restrict lawful competition based on your own work, public information, unprotectable ideas, permitted interoperability, or independently developed materials.

This restriction does not prevent you from using your own underlying designs, brand choices, tokens, code, or design system ideas independently of Alpy.

In short: use Alpy Outputs in products, internal work, and bespoke client work; do not resell the generated design system itself as a reusable asset or use Alpy to build a competing generator.

16. Trademarks and Publicity

Alpy's names, logos, product names, icons, and brand elements are owned by Alpy or its licensors. You may not use them except as permitted by Alpy in writing or as allowed by law.

You retain rights in your own names, logos, trademarks, and client marks.

Alpy will not use your non-public library content, client names, or private brand materials for marketing without your permission, except where content is already public or where use is permitted by law.

17. Alpy MCP, AI Skills, and AI-Assisted Workflows

Alpy MCP can give an authorized AI client or Figma connection read-only access to the selected Alpy Library's supported components, tokens, modes, and AI Skills. You control which library is connected and may disconnect or revoke access through available account or client controls.

An Alpy Library may include Alpy AI Skills and Alpy Taste guidance for AI-assisted design and implementation workflows.

Alpy AI Skills and Alpy Taste are intended to help AI agents and implementation teams understand your design direction and system. They are not legal, financial, accessibility, security, compliance, or professional advice.

You are responsible for reviewing AI Ready guidance and other Outputs before relying on them, sharing them, committing them to a repository, sending them to a client, or uploading them to a third-party AI tool.

If you upload, paste, export, or share Alpy-generated files with an AI tool, you instruct your device to provide the requested files to that client. The client's terms and privacy notice apply. Alpy does not control third-party AI tools, model behavior, output quality, retention, training practices, security, or compliance.

18. Code Exports and Generated Artifacts

Alpy may generate code, token JSON, CSS variables, React source, Vue source, package metadata, validation files, ZIP files, and related generated artifacts.

Generated artifacts are created from the active Alpy Library and export profile. They may include your design system data, names, tokens, semantic mappings, component contracts, validation state, and package settings.

You are responsible for reviewing generated code and files before using them in production, including checking accessibility, security, browser support, framework compatibility, dependency choices, performance, licensing, and fit for your product.

Generated code may reference or be used with third-party frameworks, libraries, dependencies, tools, or open-source software. Those third-party materials may be governed by their own licenses and terms.

Alpy may block or warn on exports when validation finds unresolved drift, unsupported targets, missing mappings, contrast issues, or package configuration issues. Warnings, audits, and validation signals are product guidance only and do not guarantee compliance, accessibility, correctness, security, or production readiness.

Signed download links may expire. Expired links may need to be regenerated if the related artifact is still available.

19. Accessibility Audits and Validation

Alpy may provide accessibility color contrast audits, token validation, mapping validation, mismatch detection, drift detection, and related signals.

These features are intended to help you review and improve your design system. They are not a complete accessibility audit, legal compliance review, security review, or substitute for human testing.

You are responsible for evaluating whether your product, website, app, component library, documentation, or client deliverable meets applicable accessibility, legal, platform, industry, and organizational requirements.

20. Figma, Alpy Connect, and the Export CLI

When you use Alpy with Figma, Alpy may prepare, insert, sync, or apply design-system resources such as variables, styles, components, names, mappings, selected library data, package metadata, insertion results, and sync results.

Figma is a materialized output for Alpy workflows, not a second source of truth for the Alpy Library. Alpy Connect is intended to sync Alpy-owned or Alpy-managed Figma resources and should not update user-owned Figma content outside the intended workflow.

You are responsible for using Alpy with Figma in compliance with Figma's terms, policies, account settings, workspace rules, organization rules, and any client or employer restrictions that apply to your Figma files.

Alpy does not control Figma availability, Figma account access, Figma plugin review decisions, Figma workspace permissions, Figma API or platform changes, or how Figma handles content after it is inserted, synced, stored, or shared in Figma.

Alpy Library Keys authorize certain Export CLI and Figma package workflows. You are responsible for keeping each key confidential and using an available revocation control if a key is exposed.

The Export CLI can download export packages and modify project files or configuration on your device. Review the command, target project, Alpy Library Key, and resulting changes before use. Run the tool only on devices and projects you are authorized to modify, with appropriate backups and operating-system permissions.

The Export CLI automatically sends limited install lifecycle telemetry described in the Privacy Policy. Alpy does not guarantee compatibility with every operating system, AI client, code editor, project, dependency, or future third-party configuration format.

21. Payments, Billing, Refunds, and Disputes

Payments are processed by Stripe unless a different payment method is shown at checkout. Alpy does not store full payment card numbers.

Prices, taxes, currencies, available plans, and included features may vary by region, account state, promotion, checkout flow, product version, or applicable law. The checkout page controls the amount you authorize.

Refunds, chargebacks, disputes, reversals, failed payments, suspected fraud, or payment processing errors may cause license access, billing portal access, or paid entitlements to be disabled, reversed, delayed, or rechecked.

Refund requests are handled case by case and according to applicable law, Stripe processing rules, and any refund terms shown at checkout. To ask about a refund or payment issue, contact info@thealpy.studio.

Nothing in these Terms limits refund, cancellation, withdrawal, warranty, or consumer rights that cannot be waived under applicable law.

Where required by law, a checkout flow may ask you to consent to immediate delivery of digital content or digital services and acknowledge how that affects any cancellation or withdrawal rights.

22. Taxes

Prices may not include taxes unless stated at checkout.

You are responsible for any applicable taxes, duties, levies, or similar government charges associated with your purchase, except for taxes based on Alpy's income.

Stripe or another payment provider may calculate, collect, or remit taxes where required or configured.

23. Third-Party Services

Alpy uses or may link to third-party services, including Supabase for authentication, database, storage, and backend services; Stripe for payments and billing; Vercel for hosting and infrastructure; Resend for transactional and product-update email delivery, audience management, and unsubscribe processing; Fontshare and Google Fonts for hosted font resources; Figma for plugin or Connect workflows; and AI clients, code tools, repositories, or hosting platforms you choose.

Third-party services are governed by their own terms, privacy policies, service availability, billing rules, security practices, and account controls.

Supabase, Stripe, Vercel, and Resend act as Alpy service providers for the functions described in the Privacy Policy. Alpy remains responsible for its own obligations concerning those providers to the extent required by applicable law.

Figma, AI clients, code tools, repositories, hosting platforms, and other independent services you choose may have their own terms, privacy practices, availability, billing, account controls, model behavior, and review decisions. To the extent permitted by law, Alpy is not responsible for their independent acts or for processing that occurs after you direct content to them, but this does not exclude responsibility that cannot legally be disclaimed.

24. Acceptable Use

You agree not to misuse Alpy. For example, you may not:

• use Alpy for unlawful, infringing, deceptive, harmful, abusive, or fraudulent activity;
• upload, generate, export, or share content that violates another party's rights or your obligations to a client, employer, platform, or third party;
• attempt to bypass license checks, paywalls, security controls, download restrictions, account controls, usage limits, or rate limits;
• obtain, expose, sell, share, harvest, or misuse another person's account, Credentials, private library, package, personal information, or confidential material;
• interfere with Alpy's infrastructure, backend functions, storage, payment flows, or availability;
• probe, scan, scrape, crawl, stress test, reverse engineer, decompile, disassemble, or extract Alpy except to the extent permitted by applicable law, expressly authorized by Alpy in writing, or reasonably necessary for a non-disruptive good-faith report under Section 22 of the Privacy Policy;
• copy, frame, mirror, or commercially exploit Alpy except as permitted by these Terms;
• introduce malware, harmful code, or intentionally corrupted files;
• create, solicit, store, or distribute child sexual abuse material or content that sexually exploits or endangers a child;
• misrepresent your identity, payment status, license scope, or authority to act for an organization or client;
• remove Alpy ownership markers, package integrity fields, validation signals, or attribution markers for the purpose of bypassing restrictions or misleading others;
• use Alpy to create, store, or distribute content that is unlawful, infringing, malicious, or designed to harm systems or people.

Alpy is not required to proactively monitor all User Content. Alpy may investigate, preserve evidence, restrict access, remove content, or report conduct when reasonably necessary to enforce these Terms, protect users or the service, or comply with law.

25. Sensitive Content and Regulated Data

Alpy is intended for design system workflows.

Alpy is not designed for regulated or highly sensitive data. Do not intentionally include sensitive personal information, government identification numbers, health information, financial account credentials, passwords, private keys, regulated data, trade secrets you are not authorized to process, or other highly sensitive information in an Alpy Library, support message, package, authored guidance, code export, repository, AI client, or Figma workflow unless Alpy has expressly agreed to that processing in a signed written agreement.

You are responsible for deciding whether your use of Alpy is appropriate for your confidentiality, security, industry, client, employer, and compliance obligations.

26. Copyright Complaints

If you believe content stored or processed through Alpy infringes your copyright, contact us at info@thealpy.studio with enough information for us to understand and evaluate the issue.

Your notice should include:

• your name and contact information;
• a description of the copyrighted work;
• a description of the allegedly infringing content;
• where the content appears or how it can be identified;
• a statement that you believe in good faith that the use is not authorized;
• a statement that the information you provide is accurate;
• your physical or electronic signature.

We may remove or disable access to content where appropriate and may suspend or terminate accounts that repeatedly infringe third-party rights.

This is a general copyright-complaint process and is not a representation that Alpy has registered a designated DMCA agent or that a statutory safe harbor applies. Alpy may request additional information, notify the affected user, or consider a response or counter-notice as required by applicable law.

27. Export Controls and Sanctions

You may not use Alpy in violation of export-control laws, sanctions laws, trade restrictions, or similar rules.

You may not use Alpy if you are located in, ordinarily resident in, organized under the laws of, or acting on behalf of a country, region, person, or entity subject to applicable sanctions or restrictions that prohibit your use of Alpy.

You are responsible for complying with export-control and sanctions rules that apply to your use of Alpy, Outputs, code exports, and third-party tools.

28. Support

Support is available through info@thealpy.studio unless another support channel is provided.

Paid plans may include email support as described in the product, checkout flow, or written agreement.

Unless we enter into a separate written agreement, Alpy does not provide guaranteed response times, service levels, custom implementation, migration services, dedicated support, or emergency support.

29. Availability and Product Changes

Alpy is provided as a live product and may change over time.

We may add, remove, rename, redesign, limit, suspend, or discontinue features, routes, integrations, plans, prices, packages, supported frameworks, export targets, or product surfaces.

We may update Alpy to fix bugs, improve security, change product behavior, adapt to third-party platform changes, comply with law, or enforce these Terms.

We do not guarantee that any particular feature, package, export target, Figma workflow, third-party integration, generated artifact, or plan will remain available forever.

Product changes do not retroactively remove the license granted by Section 14 for Outputs you lawfully obtained. If Alpy materially reduces a paid entitlement you purchased, Alpy will honor the applicable checkout or written terms or provide the notice, continued access, replacement, refund, or other remedy required by those terms and applicable law. Alpy may still make changes reasonably necessary for security, abuse prevention, legal compliance, or third-party platform requirements.

30. Events Outside Our Control

Alpy will not be responsible for delays, failures, interruptions, or losses caused by events outside our reasonable control, including internet failures, hosting failures, third-party service outages, payment processor issues, platform API changes, security incidents not caused by Alpy, labor disputes, natural disasters, war, terrorism, civil unrest, government action, changes in law, or other force majeure events.

31. Privacy

Our Privacy Policy explains how Alpy handles information when you use the website, web app, account features, local workspace, cloud-backed features, packages, exports, CLI tools, payments, and Figma-related workflows. Its Security and Responsible Disclosure section contains the consolidated security notice.

By using Alpy, you also acknowledge the Privacy Policy.

32. Feedback

If you send ideas, suggestions, issue reports, feature requests, examples, comments, or other feedback, you grant Alpy a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, adapt, and disclose that feedback to improve, market, support, and operate Alpy, subject to the Privacy Policy and any third-party rights you identify.

Do not send confidential information in feedback unless we have agreed in writing to treat it as confidential.

33. Confidentiality

Alpy is not a substitute for a separate confidentiality agreement, nondisclosure agreement, security addendum, enterprise agreement, or data processing agreement.

You should not send confidential client, employer, or third-party information to Alpy unless you are authorized to do so and your use of Alpy is appropriate for that information.

We will handle information according to our Privacy Policy and these Terms, but we do not accept special confidentiality obligations unless we agree to them in writing.

34. Suspension and Termination

You may stop using Alpy at any time.

We may suspend, disable, limit, or terminate access to Alpy, accounts, downloads, generated artifacts, or paid entitlements if we believe you breached these Terms, violated applicable law, created security or operational risk, misused the service, initiated a fraudulent payment, triggered a chargeback or dispute, or used Alpy in a way that could harm Alpy, users, third parties, or service providers.

Termination does not automatically delete local browser data, credentials, downloaded packages, exports, or repository copies on devices you control. You are responsible for removing local copies you no longer want.

35. Disclaimers

Alpy is provided "as is" and "as available."

To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and uninterrupted or error-free operation.

We do not guarantee that Alpy Outputs will be bug-free, complete, production-ready, accessible, secure, compliant, compatible with every framework or browser, accepted by every third-party tool, or appropriate for your specific product, client, jurisdiction, industry, or use case.

The Export CLI modifies project files or configuration and depends on your operating system, project, permissions, network, and third-party dependencies. Alpy does not guarantee compatibility with every environment or that every generated package will install without conflicts.

You are responsible for human review, testing, validation, implementation decisions, and production use of any Alpy Output.

Nothing in these Terms excludes or limits any warranty, guarantee, condition, right, or remedy that cannot be excluded or limited under applicable law.

36. Limitation of Liability

To the maximum extent permitted by law, Alpy and its operator will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost business, business interruption, loss of goodwill, cost of replacement services, or issues arising from your use of or inability to use Alpy, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, our total liability for claims relating to Alpy or these Terms will not exceed the amount you paid to Alpy for the product or license giving rise to the claim, or USD $100 if you did not make an applicable purchase.

These limitations do not apply to liability that cannot be limited under applicable law.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

37. Indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Alpy and its operator from third-party claims, damages, liabilities, losses, costs, and expenses, including reasonable legal fees, caused by:

• User Content that infringes or violates a third party's rights;
• your material breach of these Terms or violation of law;
• your unauthorized access, malicious use, or misuse of Alpy or a third-party service;
• your lack of authority to use Alpy for a client, employer, or organization;
• your resale, redistribution, or commercialization of Outputs outside the permissions in these Terms.

Alpy will give reasonably prompt notice of a covered claim and reasonable cooperation at your expense. You may control the defense with qualified counsel, but you may not settle a claim in a way that admits fault by, imposes obligations on, or requires payment from Alpy without Alpy's prior written consent.

If you are a consumer, this section applies only to the extent permitted by applicable consumer law.

38. Governing Law

These Terms are governed by the laws of the State of New York, USA, without regard to conflict-of-law rules.

Any dispute relating to these Terms or Alpy will be handled in the state or federal courts located in New York County, New York, unless applicable law requires a different forum.

If you are a consumer outside the United States, this section does not limit any mandatory consumer protection rights or mandatory local forum rights that cannot be waived by contract.

39. Changes to These Terms

We may update these Terms from time to time. The effective date or last updated date above will show when these Terms were last updated.

If Alpy makes a material change, Alpy will provide notice through the website, app, email, or account before the change takes effect when appropriate or required by law.

Alpy may request affirmative acceptance when a change materially affects a paid entitlement, dispute term, or other right, or when law requires renewed consent. Otherwise, your continued use after notified updated Terms take effect means you accept them to the extent permitted by law.

Updated Terms apply prospectively and do not retroactively remove a license already granted for a lawfully obtained Output. Alpy may apply changes immediately when reasonably necessary to address security, abuse, legal compliance, third-party platform requirements, or operational integrity.

40. Assignment

You may not assign or transfer these Terms, your account, or your license entitlements without our prior written consent.

We may assign or transfer these Terms in connection with a merger, acquisition, financing, restructuring, sale of assets, or similar transaction, or by operation of law.

41. Severability

If any part of these Terms is found invalid, unlawful, or unenforceable, the remaining parts will continue in effect.

The invalid, unlawful, or unenforceable part will be interpreted or replaced in a way that most closely reflects the original intent while remaining enforceable, to the extent permitted by law.

42. No Waiver

If we do not enforce a provision of these Terms, that does not mean we waive the right to enforce it later.

A waiver must be in writing to be effective.

43. Entire Agreement

These Terms, checkout terms, plan terms, and any additional terms or written agreements that apply to your use of Alpy form the entire agreement between you and Alpy regarding the service.

The Privacy Policy is Alpy's notice about information handling and is not intended to create contractual rights beyond applicable law unless a provision is expressly incorporated into a signed written agreement.

They replace any prior or contemporaneous understandings about Alpy, except for written agreements signed by both parties.
